(“Medical Sutures”, “we”, “us”, “our”)

Brand Ownership Notice
Medical Sutures® is a brand owned by Astflick Holdings Ltd and is used under licence by Astflick Group Ltd.
Astflick Group Ltd is the contracting entity for all sales, orders and transactions conducted under the Medical Sutures brand.

1. Business Customers Only

1.1 This website is operated strictly on a business-to-business (B2B) basis.

1.2 By placing an order, you confirm that you are acting wholly or mainly for the purposes of your trade, business, craft or profession.

1.3 The Consumer Contracts Regulations 2013 and other consumer protection legislation do not apply to contracts formed through this website.

2. Credit Accounts & Payment Terms

2.1 Credit accounts may be offered at our discretion and subject to status. We reserve the right to withdraw, suspend or restrict credit facilities at any time.

2.2 Payment terms for approved credit accounts are 30 days from invoice date, unless otherwise agreed in writing.

2.3 If payment is not received by the due date:

The account may be placed on stop

Further orders may be suspended

Outstanding balances will remain payable in full

2.4 We reserve the right to pursue recovery of unpaid sums in accordance with UK law. Reasonable recovery, legal and administrative costs may be added where permitted.

3. Title to Goods

3.1 Title to all goods remains with Astflick Group Ltd t/a Medical Sutures until payment has been received in full for all outstanding invoices and in cleared funds.

4. Orders & Order Accuracy

4.1 Orders placed via the website or by email are binding once accepted by us.

4.2 Customers must check order confirmations carefully, including:

Product details

Quantities

Prices

Delivery addresses

We cannot accept liability for errors once an order has been confirmed.

4.3 Any amendments or cancellation requests must be submitted in writing via email. Verbal requests will not be accepted.

4.4 Once an order has been released to our warehouse or supplier, it may no longer be possible to amend or cancel.

5. Pricing

5.1 All prices are quoted exclusive of VAT and carriage, unless stated otherwise.

5.2 Prices published on our website, catalogue or other materials are subject to change without notice.

5.3 Orders will be processed at the price agreed at the time the order was placed. Subsequent price changes will not apply to confirmed orders.

6. Product Information & Suitability

6.1 Product images and descriptions are provided in good faith. Manufacturers may change specifications, packaging or appearance without notice.

6.2 We cannot be held liable for minor differences between images or descriptions and delivered products.

6.3 No representations or warranties are given regarding suitability, application or fitness for purpose. Customers are responsible for ensuring products are appropriate and approved for their intended use.

7. Delivery

7.1 Delivery dates are estimates only. We are not liable for losses arising from delayed or failed deliveries beyond our reasonable control.

7.2 Delivery charges may vary depending on order size, destination or supplier. Where delivery costs change, we will notify you and seek confirmation before dispatch.

7.3 In the event of stock availability issues, we reserve the right to:

Supply substitute items of comparable quality and price, or

Delay delivery pending stock availability

8. Inspection, Shortages & Damage

8.1 Customers must inspect goods immediately upon delivery.

8.2 Any shortages or damage must be reported by email within three (3) working days of delivery.

8.3 Claims reported outside this timeframe cannot be investigated or accepted.

9. Returns & Exchanges (B2B)

9.1 All return requests are considered on a case-by-case basis. We are under no obligation to accept returns.

9.2 Returns will only be considered if:

Prior written authorisation has been obtained

Goods are unused, unopened and resaleable

9.3 Incorrectly ordered items are not automatically eligible for return or exchange.

9.4 Goods ordered specifically for you, made-to-order, personalised or special-order items cannot be returned.

9.5 Where returns are accepted:

The customer is responsible for all return costs

A restocking fee may apply to cover administration and handling

9.6 Goods returned in an unsaleable condition will not be refunded or exchanged and may be destroyed or returned at the customer’s expense.

10. Failed Deliveries

10.1 If a delivery is unsuccessful and returned to us, and you request re-delivery, we reserve the right to charge additional delivery costs.

10.2 Where goods are shipped directly from a manufacturer and delivery fails, a manufacturer restocking charge may apply. This will be charged at cost (typically up to 25% of the order value).

11. VAT Exemption

11.1 Customers claiming VAT exemption under zero-rated schedules must provide valid certification at the time of ordering.

11.2 Failure to provide documentation will result in VAT being charged.

12. Pandemic & Emergency Supplies

12.1 During periods of viral outbreak, pandemic or emergency, all orders for related items (including face masks, PPE, sanitiser and similar products) are strictly non-returnable under all circumstances.

13. Limitation of Liability

13.1 Goods are supplied strictly on a business-to-business basis.

13.2 To the fullest extent permitted by law:

Liability for indirect or consequential loss is excluded

Liability is limited to the value of the goods supplied

14. Governing Law

These Terms & Conditions are governed by English law.
The courts of England and Wales have exclusive jurisdiction.

15. Brand Ownership & Intellectual Property

Medical Sutures® is a brand owned by Astflick Holdings Ltd.
Astflick Group Ltd is authorised to use the Medical Sutures® brand, trademarks and associated intellectual property under licence.
No ownership rights are transferred to customers.

16. Acceptance

By placing an order with Medical Sutures, you confirm that you have read, understood and agreed to these Business-to-Business Terms & Conditions.
